SUMMARY
The role of Director, Legal EMEA will be responsible for all EMEA commercial transactions, including managing multiple attorneys, with a primary focus on sales transactions for SaaS offerings, subscription software, and professional services. This position will negotiate and drive strategic transactions and a significant volume of sales agreements, as well as counsel the sales team and other relevant groups on a variety of licensing, intellectual property, commercial, data security, privacy, and management of outside counsel.
This position will directly report to the Associate General Counsel. It will also support and advise senior sales, human resources, finance, compliance and executive management on a variety of issues relating to policy compliance, entity management, commercial, and privacy topics, and help with projects to improve processes that pertain to general corporate legal compliance and legal terms for all business areas.
PRIMARY DUTIES AND RESPONSIBILITIES

Manage, lead, and support the development of a legal team responsible for EMEA with the support of the Associate General Counsel. Responsible for talent selection, management, development and retention. Assist other geographies as needed in this evolving role.
Lead high‑level Legal Department projects and change management. Collaborate with multiple stakeholders (including Sales, Sales Ops, Finance, HR, Compliance, and Product Engineering) to drive business results.
Counsel the senior sales, human resources, finance and compliance teams on a variety of issues relating to policy compliance, entity management, commercial, and privacy topics.
Draft, review, negotiate and advise the company on sell‑side SaaS and software license agreements and amendments, as well as other commercial or corporate agreements such as NDAs, Data Processing Agreements and vendor agreements. Manage outside counsel advising the company on transactional matters. Work with internal stakeholders including but not limited to General Counsel, HR, Finance.
Develop and deliver training on legal issues and work with other internal teams to support continuous improvements of forms, policies, and processes to help streamline, simplify and automate value‑added processes.
Conduct legal research and draft points, authorities, and briefs as directed by the General Counsel.
Extensively interact with cross‑functional teams at all organizational levels with an expectation of maintaining high levels of responsiveness and customer service.
Improve efficiency and compliance by changing processes and training the cross‑functional teams.
Work with HR and Compliance Team on various issues, including but not limited to privacy related matters.

REQUIRED EDUCATION AND EXPERIENCE

12+ years commercial and technology legal experience.
5+ years in‑house legal practice in a technology, SaaS, and software environment.
In‑house experience with a business‑oriented focus on sell‑side negotiation of software, SaaS, and technology‑related license agreements.
Proven history of being a practitioner in the art of negotiation and creative solutions.
Experience with direct interaction with both internal and external clients across all organizational levels.

PREFERRED EDUCATION AND EXPERIENCE

Strong sell‑side commercial transactions background.
Experience delivering creative solutions throughout the transaction life‑cycle.
Experience with employment law matters.
Experience with data privacy laws and compliance.
Experience with intellectual property issues.

KNOWLEDGE, SKILLS, AND ABILITIES

Strong sell‑side commercial transactions legal background, sell‑side SaaS and software license experience.
Experience delivering creative solutions throughout the transaction life‑cycle.
High degree of independence, initiative, judgement, and decisiveness.
Ability to deliver results, both as an individual contributor and as a member of global legal teams.
Capacity to lead projects and coordinate external advisors.
Demonstrated ability to quickly digest complex information and make informed decisions.
Self‑motivated with high energy.
Strong analytical, attention‑to‑detail, and problem‑solving skills.
Strong written and verbal communication skills, including drafting agreements and giving advice in plain English & French.
Excellent interpersonal skills.
Comfortable in a fast‑paced and evolving environment.
